This Product Disclaimer applies to commercial refrigeration equipment, components, replacement parts, and related products sold by Magicool Corporation (“Magicool,” the “Company,” “we,” “us,” or “our”) through our website and other sales channels.

Please read this Product Disclaimer carefully before purchasing, installing, or using any product. You should also review the Terms of Service, Shipping Policy, Return & Refund Policy, and Warranty Policy applicable to your order.

Nothing in this Product Disclaimer excludes, limits, or replaces any right, remedy, or liability that cannot lawfully be excluded or limited under applicable law.

1. Product Information

Product specifications, dimensions, capacity, features, voltage, frequency, plug or wiring requirements, temperature range, refrigerant type, certifications, intended operating environment, installation conditions, and other technical requirements are governed by the applicable product page, product manual, labels, order confirmation, and technical documents officially issued by the Company.

Product images, visual presentations, and example applications are provided for general informational purposes only. Product appearance or nonmaterial details may vary because of display settings, production batches, or legally permissible product updates. Nothing in this paragraph relieves the Company of its responsibility to disclose material product information accurately.

If material discrepancies exist among product documents, the customer should contact the Company at support@magicoolusa.com or +1 (626) 648-1455 for clarification before purchase, installation, or use.

2. Warranty and Scope of Warranties

Eligible defects in materials or workmanship will be handled in accordance with the Warranty Policy, including any applicable repair, replacement, or other remedy provided by that policy.

Any express warranty stated on a product page, in an order confirmation, or in the Warranty Policy is subject to its stated terms and limitations. No general disclaimer is intended to negate an express warranty that has arisen under applicable law and cannot be disclaimed through general language.

Except for warranties expressly provided in the Warranty Policy and warranties or rights that cannot lawfully be excluded or limited, the Company provides no other express or implied warranty.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND TO THE EXTENT THE APPLICABLE PRODUCT IS A COMMERCIAL-USE PRODUCT, THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES NOT EXPRESSLY PROVIDED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

If applicable law does not permit the exclusion of a particular implied warranty, that warranty is limited only to the maximum extent permitted by law. For any product or transaction legally treated as a consumer product or consumer transaction, this section does not reduce any nonwaivable rights available under applicable federal or state consumer-protection law.

This section must be read together with the Warranty Policy. The scope and enforceability of any limitation or exclusion of implied warranties depend on applicable law and the nature of the transaction.

3. Commercial Use and Pre-Purchase Verification

The commercial refrigeration equipment sold by the Company is primarily designed for use in commercial environments. Before purchase, the purchaser is responsible for confirming that the product is suitable for its intended use and installation site, including:

  • Product dimensions, weight, capacity, and delivery access;

  • Voltage, frequency, phase, plug, wiring method, dedicated circuit, and grounding requirements;

  • Water supply, drainage, ventilation, heat dissipation, and installation clearances;

  • Ambient temperature, humidity, altitude, and indoor or outdoor use restrictions;

  • Temperature range, refrigeration capacity, and food-storage requirements;

  • Refrigerant type and related installation, service, and disposal requirements;

  • Applicable certifications, local permits, building codes, and fire or food-safety requirements; and

  • Floor loading, anchoring, seismic restraint, and other site conditions.

Where applicable, by placing an order the purchaser confirms that the product is being acquired primarily for commercial or business use and not primarily for personal, family, or household use. This confirmation does not eliminate any nonwaivable right arising under applicable law based on the product’s customary use or the actual circumstances of the transaction.

Customers with questions about product suitability or technical specifications should contact the Company before purchase. General information provided by customer service does not constitute professional engineering, architectural, electrical, refrigeration, food-safety, or legal advice unless the Company expressly makes a specific commitment in a formal written document.

4. Installation, Operation, and Maintenance

Customers must install, operate, clean, and maintain each product in accordance with its manual, labels, and related technical documents. Failure to follow those requirements may result in equipment failure, loss of food or inventory, personal injury, or property damage.

Electrical wiring, refrigeration systems, gas, plumbing, structural anchoring, and other work requiring specialized knowledge must be performed by qualified professionals who hold any license or certification required by law.

Customers must:

  • Use a power supply, receptacle, grounding system, and circuit protection that meet product requirements;

  • Maintain required ventilation, heat-dissipation space, and installation clearances;

  • Not modify the plug, bypass a safety device, or use a noncompliant extension cord;

  • Clean, inspect, and maintain the product at the intervals specified in its manual;

  • Follow required disconnection, depressurization, and other safety procedures before maintenance or repair;

  • Follow all warnings and handling requirements relating to flammable or otherwise regulated refrigerants;

  • Regularly check operating temperatures and abnormal-condition alarms; and

  • Establish appropriate backup storage, temperature monitoring, and emergency-transfer procedures based on the risks of the customer’s business.

Unless expressly stated otherwise in the product documentation, a product’s built-in display, thermostat, or alarm must not be treated as the customer’s sole food-safety or inventory-protection measure. Customers storing perishable food, high-value inventory, or other temperature-sensitive items should consider independent temperature monitoring, alarm, and backup-storage systems.

5. Legal and Site-Specific Requirements

The customer is responsible for confirming that the specific installation and use of the product comply with laws, regulations, and regulatory requirements applicable at the installation site, including food-safety, electrical-safety, building-code, fire-safety, occupational-safety, refrigerant-management, permitting, and inspection requirements.

Certifications, test reports, and technical information supplied by the Company do not replace the customer’s verification of requirements applicable to the specific installation site and intended use.

Nothing in this section relieves the Company of any nondelegable legal obligation it may have as a manufacturer, importer, distributor, or retailer regarding product safety, labeling, warnings, certification, recalls, or other matters.

6. Product Modification and Unauthorized Repair

Unauthorized modification, alteration, disassembly, rewiring, bypassing of safety devices, installation work, or repair may damage the equipment, cause personal injury or property damage, and affect some or all warranty rights.

To the extent permitted by applicable law, the Company is not responsible for a failure, damage, or loss caused or worsened by unauthorized modification, alteration, disassembly, installation, or repair.

Any warranty exclusion will be limited to a failure or damage reasonably connected to the unauthorized conduct. An independent defect in materials or workmanship unrelated to that conduct will continue to be handled under the Warranty Policy and applicable law.

7. Third-Party Parts and Equipment

The Company is not responsible for damage or loss caused or worsened by a third-party part, accessory, control system, piece of equipment, or other third-party product that:

  • Is incompatible with the product;

  • Does not meet applicable specifications or ratings;

  • Is installed, wired, configured, or used improperly; or

  • Is itself defective or malfunctioning.

Customers must follow the instructions, safety requirements, and warranty terms applicable to third-party products.

The use of a non-Company-branded part or service does not, by itself, automatically void the entire warranty. Warranty responsibility depends on whether the third-party product or service caused or worsened the claimed failure and remains subject to the Warranty Policy and applicable law.

8. Food, Inventory, and Business Continuity

Refrigeration equipment may experience temperature fluctuations or downtime because of power outages, environmental conditions, inadequate maintenance, installation problems, component failures, or other causes.

Customers are responsible for implementing reasonable temperature monitoring, alarms, backup power, backup storage, insurance, and emergency procedures appropriate to their operations, and for taking timely steps to mitigate loss after discovering an abnormal condition.

Except as expressly provided in the Warranty Policy or required by applicable law, the Company does not warrant that a product will prevent loss of food, medication, inventory, or other temperature-sensitive property under every circumstance.

Nothing in this section excludes the Company’s responsibility for a product defect, personal injury, or another liability that cannot lawfully be excluded or limited.

9. California Proposition 65

Certain products, components, packaging materials, or related uses may result in exposure to chemicals listed under California Proposition 65.

If a specific product legally requires a Proposition 65 warning, the applicable warning will be provided as required on the product page, product label, packaging, or accompanying materials. Customers should review the product-specific warning before purchase and use.

This section is for general informational purposes only and does not replace any product-specific Proposition 65 warning required by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY WILL NOT BE LIABLE FOR THE FOLLOWING LOSSES ARISING FROM THE USE OF, INABILITY TO USE, FAILURE OF, OR DOWNTIME OF A PRODUCT:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

  • BUSINESS INTERRUPTION;

  • LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY;

  • LOSS OF FOOD, MEDICATION, INVENTORY, OR OTHER PROPERTY;

  • LOSS OF DATA; OR

  • THE COST OF RENTING SUBSTITUTE EQUIPMENT OR OTHER INDIRECT COMMERCIAL LOSS.

These limitations apply to claims based on contract, warranty, tort, negligence, or any other legal theory, but only to the extent such claims may lawfully be limited.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY’S TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT AND THE RELATED TRANSACTION WILL NOT EXCEED THE NET PRODUCT PRICE ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCT DIRECTLY GIVING RISE TO THE CLAIM. UNLESS APPLICABLE LAW REQUIRES OTHERWISE OR THE ORDER DOCUMENTS EXPRESSLY PROVIDE OTHERWISE, “NET PRODUCT PRICE” EXCLUDES TAXES, SHIPPING CHARGES, INSTALLATION FEES, FINANCING COSTS, EXTENDED SERVICE-PLAN FEES, AND THIRD-PARTY SERVICE CHARGES.

Nothing in this Product Disclaimer excludes or limits:

  • Liability for personal injury, death, or physical damage to property other than the product itself, to the extent such liability cannot lawfully be excluded or limited;

  • The Company’s fraud, willful misconduct, or gross negligence to the extent liability for such conduct cannot lawfully be waived;

  • Product liability, warning obligations, or recall obligations that cannot lawfully be limited;

  • An express or implied warranty that cannot lawfully be excluded or limited;

  • A nonwaivable right or remedy under applicable consumer-protection law; or

  • Any other liability that cannot lawfully be excluded, limited, or made subject to a liability cap.

If a repair, replacement, or other limited remedy provided by the Warranty Policy fails of its essential purpose under applicable law, the customer may pursue any other remedy available under that law.

11. Force Majeure and External Causes

To the extent permitted by applicable law, the Company is not responsible for delay or failure to perform caused by an event beyond its reasonable control, including a natural disaster, fire, flood, earthquake, government action, port or transportation disruption, strike, war, public-health event, utility failure, or supply-chain interruption.

If such an event occurs, the Company will provide notice to affected customers when reasonably practicable and will use commercially reasonable efforts to mitigate the effects of the delay or inability to perform. If the event prevents performance of an order for an unreasonable period, either the Company or the customer may cancel the unperformed portion. The Company will refund amounts paid for the canceled and unperformed portion as required by applicable law and the applicable order terms.

This section does not affect an accrued obligation to refund a payment, an applicable shipping claim, or any other obligation that cannot lawfully be excluded.

12. Relationship to Other Policies and Order Documents

This Product Disclaimer must be read together with the policies and documents applicable to the order:

  • Defects in materials or workmanship and related repair, replacement, or after-sales service are governed by the Warranty Policy;

  • Shipping damage, loss, shortage, and other transportation issues are governed by the Shipping Policy and the applicable Freight Damage Claim process;

  • Customer-requested cancellation, return, or refund is governed by the Return & Refund Policy;

  • Website use, payment, intellectual property, governing law, and dispute resolution are governed by the Terms of Service; and

  • Product installation, operation, maintenance, and safety are governed by the applicable product manual, labels, and technical documents.

If the relevant documents conflict, the following order of priority applies:

  1. Special order terms expressly signed or accepted by both parties;

  2. The subject-specific policy applicable to the matter;

  3. The product manual, labels, and technical documents;

  4. This Product Disclaimer; and

  5. General provisions of the Terms of Service.

For a safety warning, the requirement that provides greater safety protection and complies with applicable law will apply. No document excludes a nonwaivable right provided by applicable law.

The preceding order of priority applies only to conflicts among substantive business terms addressing the same subject. Unless the parties expressly agree otherwise in writing, it does not alter provisions of the Terms of Service governing contract formation, governing law, dispute resolution, arbitration, venue, class-action waiver, or interpretation of terms.

Unless applicable law requires otherwise, the version of a policy applicable to an order is the version displayed on the website and accepted by the customer when the order is submitted.

13. Severability

If any provision of this Product Disclaimer is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified only to the minimum extent necessary.

The remaining provisions will continue in effect. If the invalid provision is fundamental to the allocation of risk under this Product Disclaimer, the parties’ rights and remedies will remain subject to applicable law.

14. Electronic Acceptance

Before a customer submits an order through the website, the Company will provide conspicuous links or another reasonable means of access, within the checkout flow or near the order-submission button, to this Product Disclaimer and the Terms of Service, Shipping Policy, Return & Refund Policy, and Warranty Policy applicable to the order.

By checking the applicable acknowledgment box and submitting the order, the customer confirms that the customer had a reasonable opportunity to review and agrees to the terms applicable to that order.

For a transaction conducted by telephone, email, quotation, purchase order, or another non-website channel, the Company may provide and incorporate this Product Disclaimer and the related policies before contract formation through a quotation, order confirmation, electronic link, or other reasonable method. To the extent permitted by applicable law, the customer’s signature or acceptance of a quotation, submission of a purchase order, confirmation of an order, or payment constitutes acceptance of the terms provided.
